1. Authorised Users Only
1.1 The Portal is the property of Alt HAN Co and its licensors. The Portal is only to be used by authorized users on behalf of companies and other organisations to which Alt HAN
      Co has agreed to grant access.
1.2 These Conditions of Use create a legally binding agreement between You and Alt HAN Co.
1.3 You confirm that You have the necessary authority to bind yourself and Your Authorised Organisation.
2. Defined Terms
2.1 In these Conditions of Use, the following words have the following meanings, unless the context otherwise requires:
      Alt HAN Co: Alt HAN Company Limited, a company registered in England & Wales with company number 10002859.
      Authorized Organisation: a company or other organisation which Alt HAN Co has authorized to use the Portal.
      Content: any text, documents, images, graphics, sounds, videos, films, logos, information or other materials contained in or accessed via the Portal.
      Portal: the portal at the domain www.althanops.com and all its subdomains.
      Primary Agreement: the contract between Alt HAN Co and an Authorized Organisation under which Alt HAN Co granted permission for that Authorized Organisation to use the
      Portal (subject to that contract and these Conditions of Use).
      You: the individual who is accessing the Portal, and to whom these Conditions of Use apply, together with the Authorized Organisation on behalf of whom such individual is acting.
3. Your User Credentials
3.1 You will have been issued with a username and password in order to enable access to the Portal.
3.2 You must ensure that Your username and password are kept secure and confidential. You must not share your username or password with anyone else,
       or permit anyone else to use them.You must immediately notify Alt HAN Co of any unauthorized use of Your username or password or any other breach of security.
3.3 It is Your sole responsibility to monitor and control access to and use of Your account. You are responsible for any activity undertaken via Your account.
3.4 Unauthorized access is strictly prohibited and may be subject to prosecution.
4. Access to the Portal
4.1 Subject to Your Primary Agreement, Your access to the Portal is permitted on a temporary basis, and Alt HAN Co reserves the right to withdraw or amend the access provided
       without notice.
4.2 Alt HAN Co will not be liable if for any reason the Portal is unavailable at any time or for any period. Alt HAN Co does not warrant or guarantee that
       the Portal will always be available.
4.3 Alt HAN Co uses industry standard security processes and procedures to protect the Portal against viruses, worms, Trojan horses,
       malware and other disabling devices, but Alt HAN Co cannot guarantee that the Portal will be free from the same or totally secure.
5. Your Use of the Portal
5.1 You must ensure that Your use of the Portal is compliant with applicable law and with Your Primary Agreement.
5.2 You must take all reasonable steps in accordance with industry standard security processes and procedures to protect the Portal against viruses, worms, Trojan horses,
       malware and other disabling devices, including by maintaining up-to-date anti-virus/malware protection.
5.3 When using the Portal, You agree not to
      (a) attempt to undermine the security or integrity of the Portal, or Alt HAN Co's (or its service providers') computing systems or networks;
      (b) use the Portal in any way which may impair the functionality of the Portal, or impair the ability of any other user to use the Portal;
      (c) attempt to gain unauthorized access to any materials other than those to which You have been given express permission to access;
      (d) transmit, or input into the Portal, any files or data that may damage any other person's computing devices or software, or any Content that may be offensive or
           in violation of any law (including data or other material which You do not have the right to use);
      (e) create links to the Portal;
      (f) attempt to modify, copy, adapt, reproduce, disassemble, decompile or reverse engineer any computer programs used to operate the Portal;
      (g) impersonate any other person;
      (h) act in a vulgar, offensive, harassing or objectionable manner; or
      (i) use the Portal for any unlawful purpose.
5.4 You must abide by the UK Data Protection Act 2018 and the UK Computer Misuse Act 1990.
6. Reliance
6.1 Without prejudice to Your Primary Agreement:
      (a) You must not rely on the Content;
      (b) Alt HAN Co gives no undertaking or representation regarding the accuracy of the Content;
      (c) Alt HAN Co does not accept any responsibility for any loss which may arise from accessing or reliance on the Content; and
      (d) to the fullest extent permitted by law, Alt HAN Co excludes all liability for loss or damages arising directly or indirectly from use of the Content.
6.2 Without prejudice to Your Primary Agreement:
      (a) Alt HAN Co provides the Portal 'as is' and without any undertaking or representation that it is fit for any purpose or that any particular results
           or outcomes will be achieved through use of the Portal; and
      (b) to the fullest extent permitted by law, Alt HAN Co excludes all liability for loss or damages arising directly or indirectly from use of the Portal.
7. Information about You and Your visits to the Portal
7.1 From time to time, Alt HAN Co will process information and collect cookies about You collected from the Portal in accordance with
      Our Privacy Policy and Cookie Policy
7.2 Please read Alt HAN Co's Privacy Policy for details of how we collect and use Your personal data.
8. Links from the Portal
8.1 Where the Portal contains links to other sites and resources provided by third parties, these links are provided for Your information only.
      The presence of a link on the Portal shall not be deemed to be a recommendation or endorsement of such third party website by Alt HAN Co.
      Alt HAN Co has no control over the contents of those sites or resources, and accepts no responsibility for them or for any loss or damage
      that may arise from Your use of them.
9. Confidentiality and Data Protection
9.1 You must keep the Content confidential in accordance with the requirements of Your Primary Agreement.
9.2 You must only use the Content in accordance with the requirements of Your Primary Agreement.
9.3 You must only process any personal data which forms part of the Content in accordance with the requirements of Your Primary Agreement and law.
10. Intellectual Property Rights
10.1 Your rights and obligations under Your Primary Agreement in respect of intellectual property rights apply in respect of the Content.
11. Liability
11.1 Alt HAN Co's liability under or in relation to these Conditions of Use and/or the Portal shall be limited in accordance with the applicable Primary Agreement.
        Alt HAN Co shall have no liability to You if You are not acting pursuant to a Primary Agreement.
11.2 To the extent permitted by law, Alt HAN Co excludes any and all conditions, warranties and other terms which might otherwise be implied by statute, common law or custom.
12. General
12.1 Entire Agreement: These Conditions of Use and Your Primary Agreement constitute the whole agreement between You and
        Alt HAN Co regarding the Porta. You are not entitled to rely on any representation not repeated in these Conditions of Use or
        Your Primary Agreement (save in the case of fraud).
12.2 Variations: Alt HAN Co reserves the right to change these Conditions of Use at any time. You should check them regularly to see if they have changed.
        Your continued use of the portal shall indicate your acceptance of any change.
12.3 Waiver: No waiver will be effective unless made in writing.
12.4 No Assignment: You may not assign or transfer your rights or obligations under these Conditions of Use.
12.5 Rights of Third Parties: No person shall have rights under the Contracts (Rights of Third Parties) Act 1999 in respect of these Conditions of Use.
12.6 Notices: Any notice concerning these Conditions of Use must be given in accordance with Your Primary Agreement.
12.7 Interpretation: In these Conditions of Use:
        (a) clause headings shall not affect interpretation;
        (b) a person includes an individual, corporate or unincorporated body (whether or not having separate legal personality) and that person's legal and personal representatives
             successors or permitted assigns;
        (c) reference to a statute or statutory provision is a reference to it as it is in force from time to time;
        (d) unless the context otherwise requires, words in the singular shall include the plural and in the plural shall include the singular; and
        (e) the words "other", "including" and "in particular" shall not limit the generality of any preceding words or be construed as being limited to the same class as any
             preceding words where a wider construction is possible.
12.8 Governing Law and Jurisdiction: These Conditions of Use and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims)
        shall be governed by and construed in accordance with the law of England and Wales.
